Terms of Service

1. Services

Lanvar provides AI engineering consulting services, including business audits, custom agent development, and related technical services. Specific deliverables, timelines, and fees are defined in individual engagement agreements.

2. Engagement Process

Our standard engagement follows four stages:

• Audit: A complimentary one-hour discovery call followed by a written report within one week.
• Pilot: A four-week fixed-fee engagement to build and test an initial agent system.
• Production: Hardening the system for production use over 6-10 weeks.
• Handoff: Transfer of code ownership and documentation to your organization.

You may discontinue engagement between any stages with no further obligation.

3. Intellectual Property

Code ownership: All code, prompts, evaluation suites, and deployment scripts developed during an engagement transfer to your organization at handoff. You own the work product.

Methodology: Our execution lineage methodology and general techniques remain our intellectual property, but you receive a perpetual license to use them in the delivered systems.

4. Confidentiality

We treat all client information as confidential. We do not share your business data, workflows, or proprietary information with third parties without your explicit consent. Published case studies and reports are anonymized.

5. Warranties and Limitations

We commit to delivering work with professional care and technical competence. However:

• AI systems involve inherent uncertainties; we cannot guarantee specific business outcomes.
• Our liability is limited to the fees paid for the specific engagement in question.
• We are not liable for indirect, incidental, or consequential damages.

6. Payment Terms

Payment terms are specified in individual engagement agreements. The initial audit is complimentary. Subsequent stages require payment according to agreed milestones.

7. Termination

Either party may terminate an engagement with written notice. Upon termination:

• You retain ownership of all work completed to that point.
• Outstanding fees for completed work remain due.
• We will provide reasonable transition assistance.

8. Governing Law

These terms are governed by the laws of the Province of Quebec, Canada. Any disputes will be resolved in the courts of Montreal, Quebec.
